End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee") and TrialStudio ("Licensor") for the TrialStudio desktop software and any associated materials (the "Software").

1. License grant

Subject to your compliance with this Agreement and payment of applicable fees, Licensor grants you a non-exclusive, non-transferable license to install and use the Software on devices you control, solely for your internal business or professional use.

2. License validation

The Software validates your license and entitlement through a third-party licensing service. Features may be limited to a read-only mode when a valid, active license is not present.

3. Restrictions

You may not reverse engineer, decompile, redistribute, sublicense, rent, or resell the Software, or circumvent its licensing, except to the extent such restriction is prohibited by applicable law.

4. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.

5. Payments

Purchases and subscriptions are processed by our third-party merchant of record. Taxes, invoicing, and billing are handled by that provider under its terms.

6. Disclaimer of warranties

The Software is provided "as is" without warranty of any kind, to the maximum extent permitted by law.

7. Limitation of liability

To the maximum extent permitted by law, Licensor will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software.

8. Termination

This license terminates automatically if you breach it. Upon termination you must stop using and remove the Software.
